Welcome to PayIt2 ("PayIt2," "we," "us," or "our"). PayIt2 is a product of PayIt2, LLC. By accessing or using our website at payit2.com and any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, making a donation, purchasing a ticket, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

You must be at least 13 years of age to use the Platform. If you are between 13 and 17 years of age, you may only use the Platform with the involvement and consent of a parent or legal guardian, who must agree to be bound by these Terms and accepts responsibility for your activity on the Platform. Users under 18 may not independently settle payments or enter into binding payment agreements without an adult representative on their account, consistent with Stripe's requirements. By using PayIt2, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To use certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at help@payit2.com if you suspect unauthorized access to your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Description of Services

PayIt2 provides an online platform that enables users to:

• Create fundraising campaigns for legal defense funds, charitable causes, personal needs, community projects, and other lawful purposes
• Sell event tickets for conferences, concerts, community events, and other gatherings
• Collect payments securely through Stripe's payment processing infrastructure
• Manage donor and attendee communications through the platform's built-in tools

PayIt2 is a technology platform that facilitates transactions between organizers and donors or attendees. We are not a financial institution, charity, or fiduciary. We do not guarantee that campaigns will reach their funding goals.

5. Organizer Responsibilities

If you create a campaign or event on PayIt2 ("Organizer"), you agree to:

• Use collected funds solely for the stated purpose of your campaign or event
• Provide truthful, accurate, and non-misleading descriptions of your campaign
• Deliver goods, services, or event experiences as promised to donors or attendees
• Respond to donor or attendee inquiries in a timely manner
• Comply with all applicable local, state, and federal laws, including tax reporting obligations
• Not use the Platform to collect funds for unlawful purposes

You acknowledge that PayIt2 does not verify the accuracy of campaign descriptions or the use of funds, and that Organizers bear full responsibility for their campaigns.

6. Donor Responsibilities

If you make a donation or purchase a ticket through PayIt2 ("Donor" or "Attendee"), you understand that:

• Donations are made at your own risk. PayIt2 does not guarantee that funds will be used as described by the Organizer.
• PayIt2 is not responsible for the delivery or quality of goods, services, or events provided by Organizers.
• Refund policies are set by individual Organizers unless otherwise stated. PayIt2 may facilitate refund requests but is not obligated to issue refunds on behalf of Organizers.
• Donations to individuals through PayIt2 are generally not tax-deductible. Consult a tax professional for guidance specific to your situation.

7. Fees and Payments

PayIt2 charges service fees as described on our Fees page. These fees are subject to change, and we will provide notice of any changes by updating the Fees page. Key details:

• Fundraising campaigns: PayIt2 charges a platform fee of 3.85% on each donation, plus Stripe's standard payment processing fees (currently 2.9% + $0.30 per transaction).
• Event tickets: PayIt2 charges a flat fee of $1.49 per ticket, plus Stripe's payment processing fees.
• Payouts: Funds are disbursed to Organizers via Stripe according to Stripe's payout schedule, typically within 2 to 3 business days.
• Organizers may choose to pass PayIt2 platform fees on to donors or attendees, or absorb those fees themselves.

All fees are non-refundable unless otherwise required by law.

8. Prohibited Activities

You may not use the Platform to:

• Engage in fraud, misrepresentation, or deception
• Collect funds for activities that violate applicable law
• Promote violence, terrorism, or hate speech
• Infringe upon the intellectual property rights of others
• Distribute malware, viruses, or other harmful technology
• Scrape, harvest, or collect user data without authorization
• Circumvent, disable, or interfere with the Platform's security features
• Create campaigns that violate Stripe's acceptable use policies

PayIt2 complies with Stripe's acceptable use policies. Stripe's policies may change, and campaigns found to violate those policies may be suspended or removed.

9. Intellectual Property

All content, design, graphics, trademarks, and other intellectual property displayed on the Platform are owned by PayIt2, LLC or its licensors. You may not copy, reproduce, distribute, or create derivative works from any Platform content without our prior written consent.

The PayIt2 name, logo, and mark are registered trademarks of PayIt2, LLC. Pay It Square is a legacy trademark of PayIt2, LLC. Use of our trademarks without express permission is prohibited.

10. User Content

By posting content to the Platform (including campaign descriptions, images, comments, and other materials), you grant PayIt2 a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with operating and promoting the Platform.

You represent that you own or have the necessary rights to all content you post, and that your content does not infringe upon the rights of any third party. We reserve the right to remove any content that violates these Terms or that we deem inappropriate, at our sole discretion.

11. Third-Party Services

The Platform integrates with third-party services, including Stripe for payment processing. Your use of these services is subject to their respective terms and privacy policies. PayIt2 is not responsible for the actions, content, or policies of any third-party service.

Links to third-party websites or resources on the Platform are provided for convenience only. We do not endorse and are not responsible for the content or practices of any linked websites.

12. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. PayIt2 disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

PayIt2 does not guarantee that the Platform will be uninterrupted, error-free, or secure. We are not responsible for any loss or damage resulting from your use of the Platform, including but not limited to:

• Losses arising from unauthorized access to your account
• Losses caused by the actions or omissions of Organizers or other users
• Technical failures, system outages, or data loss
• Reliance on information provided by other users of the Platform

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYIT2'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF FEES YOU PAID TO PAYIT2 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless PayIt2, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) will remain in effect.

You may close your account at any time by contacting us at help@payit2.com. Closing your account does not relieve you of any obligations incurred prior to closure, including any pending payouts or campaign commitments.

15. Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered in Ottawa County, Michigan, in accordance with the rules of the American Arbitration Association.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration. This arbitration provision does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, for material changes, notify users via email or a prominent notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.
